These Terms and Conditions ("Terms") govern access to www.luminalighting.com (the "Site") and purchases made directly from Lumina Lighting Inc. ("Lumina Lighting," "we," "us," or "our"). By using the Site, creating an account, submitting information, or placing an order, you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the Site or place an order.

Eligibility and Accounts

You must be legally capable of entering into a binding contract in your jurisdiction. If you use the Site on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

You agree to provide accurate and current information, use an authorized payment method, safeguard account credentials, and accept responsibility for activity through your account. Notify us promptly of suspected unauthorized access.

We may suspend access, limit purchasing, cancel orders, or close accounts when reasonably necessary to prevent fraud, abuse, legal violations, security risks, or material violations of these Terms.

Permitted Use

We grant you a limited, revocable, nonexclusive, nontransferable right to use the Site for lawful shopping and informational purposes. You may not reproduce or commercially exploit Site content; scrape or collect it through automated means except as permitted by law; interfere with security or operation; introduce harmful code; impersonate another person; infringe another party's rights; or use the Site for fraudulent, unlawful, or abusive purposes.

Product Information

We make reasonable efforts to accurately display products, specifications, finishes, colors, prices, and availability. Device displays, natural materials, lighting conditions, packaging changes, and reasonable manufacturing tolerances may produce minor differences. Products may be updated without notice when function is not materially reduced.

Product photographs and illustrations are provided for general reference. Unless expressly stated, accessories, transformers, wire, connectors, bulbs, installation materials, and surrounding objects shown in photographs are not necessarily included.

If material product information changes before shipment, we may request approval, offer a substitute, or cancel and refund the affected item.

Orders Prices and Payment

An order is an offer to purchase. An automated order confirmation acknowledges receipt but does not necessarily constitute final acceptance. We may reject, limit, or cancel an order because of product unavailability, pricing or description errors, suspected fraud, unauthorized payment, shipping restrictions, quantity limits, or another lawful reason. If payment was collected for a canceled item, it will be refunded to the original payment method or another lawful method when necessary.

Prices are stated in U.S. dollars unless otherwise indicated. You agree to pay the product price, disclosed shipping charges, applicable taxes, and other charges shown before checkout. Promotional offers are subject to their stated conditions, may not be combined unless expressly allowed, and have no cash value.

For telephone orders, the customer is responsible for reviewing and confirming the product, quantity, price, shipping address, shipping service, and other order details communicated before payment or shipment.

Shipping Returns and Warranty

The Lumina Lighting Shipping Policy, Return and Refund Policy, Privacy Policy, and Limited Product Warranty are incorporated into these Terms by reference.

The Shipping Policy governs order processing, delivery, and transit claims. The Return and Refund Policy governs eligible unused-product returns, exchanges, and refunds. Installed or used products with qualifying defects are handled under the Limited Product Warranty.

If a specific incorporated policy conflicts with a general provision in these Terms, the specific policy controls for that subject, subject to applicable law.

Installation and Electrical Safety

Customers are responsible for selecting suitable products, following product instructions and safety warnings, confirming voltage, wattage, transformer capacity, wire gauge, connector type, and environmental rating, and complying with applicable codes and permits.

WARNING  Any line-voltage work must be performed by a qualified or licensed electrician where required. Improper installation, overloading, damaged electrical components, or incorrect wiring can cause electric shock, fire, serious injury, property damage, or death.

Website diagrams, calculators, articles, videos, and customer-service guidance provide general educational information. They do not replace product-specific instructions, a site inspection, applicable codes, or professional judgment.

User Content and Reviews

You retain ownership of reviews, photographs, videos, comments, or other content you submit. You grant Lumina Lighting a nonexclusive, worldwide, royalty-free, sublicensable license to use, reproduce, adapt, publish, display, distribute, and promote that content in connection with our business, subject to applicable law and our Privacy Policy.

You represent that you have the right to submit the content, that it reflects your honest experience, and that it is not unlawful, fraudulent, defamatory, threatening, obscene, or infringing. We may moderate or remove content that violates these Terms. We do not condition warranty service on submitting, changing, or removing an honest review.

Intellectual Property

The Site and its text, photographs, graphics, videos, logos, product names, designs, software, and layout are owned by or licensed to Lumina Lighting and are protected by applicable law. Lumina Lighting, Doshine, related logos, and product identifiers may be trademarks of Lumina Lighting Inc. or their respective owners.

No commercial license is granted. You may not use our brand names, logos, images, product content, or other protected materials in advertising, marketplace listings, domain names, or social media without prior written authorization.

Third Party Services and Links

The Site may use or link to third-party payment, hosting, shipping, analytics, advertising, social-media, or other services. Their services are governed by their own terms and privacy practices. A link or integration does not necessarily constitute endorsement. Lumina Lighting is not responsible for independent third-party content or services, subject to applicable law.

Electronic Communications

By ordering or contacting us electronically, you consent to receive transactional communications about orders, payment, delivery, returns, warranties, safety, accounts, and support. Marketing emails or text messages are sent only as permitted by law. You may unsubscribe from marketing, but necessary transactional communications may continue.

Website Availability and Disclaimer

The Site and general informational content are provided on an "as available" basis. To the extent permitted by law, Lumina Lighting does not warrant uninterrupted or error-free Site access or that all general content will always be current. This Site disclaimer does not replace or reduce the express Limited Product Warranty applicable to purchased products or any right that cannot legally be waived.

Limitation of Liability

To the maximum extent permitted by law, Lumina Lighting and its personnel and service providers are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from Site use, general Site content, unauthorized account access, independent third-party services, or products, including lost profits, lost data, loss of use, or lost business opportunity.

To the extent permitted by law, total liability arising from a product purchase will not exceed the amount paid for the product giving rise to the claim. These limitations do not apply to fraud, willful misconduct, gross negligence, personal injury, property damage, product liability, or another liability to the extent it cannot legally be limited. Some jurisdictions do not permit certain exclusions or limitations, so they may not apply to you.

Indemnification

To the extent permitted by law, you agree to indemnify and hold Lumina Lighting harmless from third-party claims and reasonable expenses arising from your unlawful Site use, material violation of these Terms, infringement of another person's rights, or content you submit. This provision does not require indemnification for Lumina Lighting's own negligence, willful misconduct, or unlawful conduct.

Force Majeure

Lumina Lighting is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, war, civil disturbance, labor or carrier disruption, government action, utility outage, public-health emergency, or supply-chain interruption. This provision does not eliminate a refund or consumer right required by law.

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to mandatory consumer rights, any court proceeding arising from these Terms, Site use, or a purchase from Lumina Lighting shall be brought in the state or federal courts located in Los Angeles County, California. Nothing in this section waives a right that cannot legally be waived in the consumer's state of residence.

Changes and General Terms

We may update these Terms prospectively by posting a revised version and changing the effective date. The version in effect when an order is placed governs that transaction unless applicable law requires otherwise.

If any provision is unenforceable, it will be limited only as necessary and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. Lumina Lighting may assign these Terms as part of a lawful merger, reorganization, financing, transfer of assets, or sale of business.

These Terms and the policies incorporated by reference constitute the complete agreement concerning Site use and direct purchases from Lumina Lighting, except for any product-specific written terms or separate written agreement applicable to a particular transaction.
